Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of BISA’s crypto payment infrastructure and related services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business. If you do not agree, do not use the Services.

Your use of the Services is also governed by our Privacy Policy, which explains how we handle personal information.

The Services are intended solely for businesses and the authorized representatives acting on their behalf. By using the Services, you represent that you are at least 18 years old, are using the Services for business purposes, and are able to form a binding contract. Access may require completing our identity and business verification (KYC/KYB) checks.

BISA provides infrastructure for generating deposit addresses, receiving and consolidating (sweeping) crypto assets, sending real-time notifications, and initiating withdrawals through our API and Web Console. We may add, modify, or discontinue features at any time. Nothing in the Services constitutes financial, investment, tax, or legal advice.

To use the Services you must register an account and may generate API authentication key pairs. You are responsible for safeguarding your credentials and authentication keys, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to keep your credentials secure.

Use of the Services is subject to our fees, including a deposit fee as published on our fee chart. Blockchain network (gas) fees are not included and are your responsibility. Unless otherwise agreed, fees are deducted automatically from the relevant transaction amount. We may update our fees and will provide notice of material changes.

You must comply with all applicable laws, including anti-money-laundering (AML), counter-terrorist-financing, and sanctions regulations. You agree to provide accurate KYC/KYB information and to keep it current. You represent that you and your beneficial owners are not subject to sanctions and will not use the Services to facilitate prohibited activity. We may request additional information, and suspend access pending verification, at any time.

You agree not to use the Services to violate any law or regulation; to launder money or finance illegal activity; to infringe the rights of others; to transmit malicious code; to gain unauthorized access to our systems; or to interfere with the integrity or performance of the Services. You are responsible for your end-users’ use of the Services and for providing them with appropriate terms and notices.

Crypto-asset transactions are irreversible once confirmed on a blockchain. You are responsible for the accuracy of addresses, amounts, network selection, and your sweeping and withdrawal configuration. We are not responsible for losses resulting from incorrect transaction details, your configuration, blockchain network failures, forks, congestion, or the volatility of digital assets. You acknowledge and accept the inherent risks of using crypto assets.

The Services, including all software, APIs, documentation, and branding, are owned by BISA and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works except to the extent permitted by law.

The Services may rely on or integrate with third-party services, including blockchain networks and infrastructure providers. We are not responsible for the availability, accuracy, security, or conduct of any third-party service, and your use of them may be subject to their own terms.

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, BISA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or digital assets, arising out of or related to your use of the Services. Our aggregate liability for any claim will not exceed the total fees you paid to us during the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless BISA and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party, including your end-users.

We may suspend or terminate your access to the Services, with or without notice, if you breach these Terms, if required by law, or to protect the security or integrity of the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination — including fees owed, disclaimers, limitations of liability, and indemnities — will survive.

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last Updated” date below. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.

These Terms are governed by the applicable laws of the jurisdiction in which BISA operates, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith before pursuing formal proceedings.
